These Terms of Service ("Terms") govern your use of the Prismr application and related services ("Prismr" or the "Service") provided by Targeted Coaching International, Ltd. ("TCI," "we," "us," or "our").
By creating an account, downloading, accessing, or using Prismr, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Prismr.
1. Service Description
Prismr is an AI workspace. It brings people, your files, and AI models from different providers into one Project, lets AI carry out work under your supervision, and turns the result into editable files. It runs on macOS, Windows, iOS, and Android.
1.1 Key Terms
- Project. A folder you choose, plus the conversations, people, and settings attached to it inside Prismr.
- Project Files. The files inside a Project's folder, including files Prismr creates there for you.
- Huddle. A conversation inside a Project. A Huddle may include other people you invite and one or more AI models. A conversation with only you in it is still a Huddle.
- Job. A piece of work you ask Prismr to carry out on its own, which may involve research, tools, code, and several steps, and which you can follow, redirect, or stop.
- AI member. An AI model you have added to a Huddle or a Job.
- Connector. An optional third-party tool or service (for example a search engine, an email service, or an MCP server) that you enable so the AI can use it.
- Pilot-managed AI. AI access provided through Prismr's own provider account to selected accounts during our pilot, as described in Section 5.2.
1.2 How the Service Works
- Project Files. Prismr works with folders stored on your device, on a server or network drive, or in a cloud-synchronized folder you choose (for example iCloud Drive, Dropbox, Google Drive, or OneDrive). On iOS and Android you can also connect Google Drive, OneDrive, or Dropbox directly.
- Collaboration. Project owners may invite other people to a whole Project or to selected Huddles. Available collaboration features and access controls may vary by platform, account, and product configuration.
- What we store. Prismr does not mirror your project folder to its servers. Prismr does store, in its cloud, all conversations (including ones with no other people in them), files you attach to conversations, Job records and outputs, Project membership, your profile and settings, device records, and the other data described in our Privacy Policy, so that your devices and collaborators stay in sync.
- AI providers and Connectors. The content you work on is sent to the AI providers and Connectors you enable, and to Pilot-managed AI where your account has it. Those services handle your content under their own terms and privacy policies.
- Actions on your behalf. Prismr can take actions for you, such as creating files, running code, browsing websites, and sending messages, as described in Section 6.
We may change how the Service works over time. If a change affects how we handle your data, we will update our Privacy Policy first.
2. Eligibility
You must be at least 16 years old to use Prismr. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.
If you are under 18 (or the age of majority where you live), you represent that you have permission from a parent or legal guardian to use Prismr.
3. Your Account
3.1 Registration and Sign-In
To use Prismr, you must create an account with a valid email address. You can sign in with an email address and password, with an email sign-in link, with Sign in with Apple, or with Sign in with Google, and you can add multi-factor authentication with an authenticator app. Available methods depend on the platform. When you sign in with Apple or Google, those services provide Prismr with authentication tokens and account identifiers; Prismr does not receive or have access to your Apple or Google password.
You agree to provide accurate information and keep your account information up to date.
3.2 One Account Per Person
Your Prismr account is personal to you. You may not share your account with anyone else or transfer it to another person or entity.
3.3 Devices
You may install and use Prismr on up to 4 devices for your own use. You agree not to use this to enable multiple people to share one account. We may enforce device limits through device registration and other technical controls, now or in the future.
3.4 Account Security
You are responsible for all activity under your account, including keeping your password and other credentials confidential, and including actions started from any device signed in to your account. Contact us at [email protected] if you believe your account has been compromised.
4. License to Use Prismr
Subject to your compliance with these Terms (and payment of any applicable fees), we grant you a limited, non-exclusive, non-transferable, revocable license to install and use Prismr for your personal or internal business purposes.
You may not:
- Copy, modify, distribute, sell, lease, or sublicense Prismr or any part of it
- Reverse engineer, decompile, or disassemble Prismr, except where prohibited by law
- Remove or obscure proprietary notices
- Circumvent or attempt to circumvent security measures, usage limits, or access controls
- Use Prismr to build or offer a competing product or service
- Share, resell, or redistribute Pilot-managed AI access or any Prismr credentials
- Access the Service through automated means (bots, scrapers, or similar) except through our intended interfaces
5. AI Services
5.1 Your Own Keys and Accounts (BYOK)
Prismr works with API keys you obtain from AI providers and Connectors, and, where a provider allows it, with your own account with that provider.
When you use your own keys or accounts:
- You are responsible for costs. You are solely responsible for all charges incurred through your keys and accounts. We do not see your provider bills. The App shows usage and cost estimates to help you, but those estimates are not your bill and may differ from what your provider charges.
- You are responsible for compliance. You must comply with each provider's terms and policies, including any limits a provider places on using its consumer plans through third-party software.
- You are responsible for key security. If a key is compromised, you must revoke it directly with the provider. We cannot revoke, reset, or recover your keys.
- Provider issues are outside our control. We are not responsible for rate limits, outages, suspensions, access revocation, or other actions taken by a provider.
5.2 Pilot-Managed AI
During our pilot, we may give selected accounts access to AI models through Prismr's own provider account. This is a limited feature offered at our discretion. It is not included with every subscription, it is not an entitlement, and we may change, suspend, or withdraw it for any account or for everyone, including when the pilot ends.
- How it works. Requests are sent through Prismr's servers to OpenRouter using Prismr's account. See our Privacy Policy for what our servers record.
- Fair-use limits. Usage is metered and subject to per-minute and per-hour limits and a global cap. When a limit is reached, requests fail until the next window. We may introduce plan-based quotas in future with reasonable notice.
- No sharing or resale. Pilot-managed access is for your own use inside the App. You may not share it, resell it, or use it to serve other people.
- Changes. We may change the models available and how usage is measured at any time.
5.3 AI Output Disclaimer
AI-generated content produced through Prismr, whether through your own keys or Pilot-managed AI, is generated by third-party large language models. You acknowledge and agree that:
- AI outputs may be inaccurate, incomplete, misleading, or inappropriate. Prismr does not guarantee the quality, accuracy, reliability, or suitability of any AI-generated content.
- You are solely responsible for reviewing, verifying, and determining the appropriateness of all AI-generated content before using it for any purpose.
- Do not rely on AI output for professional, legal, medical, financial, or safety-critical decisions without appropriate human review.
- Prismr does not endorse, adopt, or take responsibility for any AI-generated content.
- Third-party AI providers process your prompts under their own terms and policies. Prismr is not responsible for their data handling practices.
5.4 AI Providers and Their Terms
Depending on the models you enable, your content may be sent to providers operating from the United States (for example Anthropic, OpenAI, Google, xAI, and OpenRouter), from China (for example Moonshot AI, Xiaomi, MiniMax, Zhipu AI, and DeepSeek), and elsewhere. Models reached through OpenRouter may be served by any of OpenRouter's underlying providers. Local models you run on your own hardware stay on your hardware. The App shows the provider for each model before you enable it.
Your use of a provider through Prismr is also subject to that provider's terms. You are responsible for reviewing and complying with them, for example:
- Anthropic: https://www.anthropic.com/terms
- OpenAI: https://openai.com/terms
- Google (Gemini): https://ai.google.dev/terms
- OpenRouter: https://openrouter.ai/terms
- xAI: https://x.ai/legal/terms-of-service
- Other providers and Connectors: the terms linked from that provider's entry in the App's Connections settings
6. Actions Prismr Takes on Your Behalf, and Remote Control
Prismr is not only a chat window. When you ask it to, and when the relevant capability is switched on in Settings, the AI can act for you. This includes, for example, creating, changing, and organising files in your Project; running code; browsing and interacting with websites, including sites you are signed in to; sending emails and messages, posting content, and making requests through Connectors you have enabled; using MCP servers you have connected; and delegating parts of a task to additional AI workers. Some of these actions are visible to other people, cost money, or cannot be undone.
- You authorise the actions. Any action the AI takes in response to your instructions, using capabilities you have enabled, is taken on your behalf and with your authority, as if you had taken it yourself. This includes actions taken through accounts, keys, and sign-ins you have provided.
- You are responsible for the results. You are responsible for reviewing what the AI does, for the content it sends or posts, for any charges it incurs, and for complying with the law and with the terms of any website or service it interacts with, including rules on unsolicited messages and automated access.
- The AI can make mistakes. AI models can misread instructions, act on the wrong item, or take an action you did not intend. Keep capabilities you do not need switched off, review before you approve, and do not give Prismr access to accounts or data you cannot afford to have used incorrectly.
- Safeguards. The App confines file changes to the Project you are working in unless you widen that access, runs code the AI writes in a sandbox, and asks you before running high-risk scripts. We may add, change, or remove safeguards over time. Safeguards reduce risk; they do not remove it.
- Remote control. When you are signed in on more than one device, you can start, approve, redirect, and stop work on one device from another. Instructions and approvals sent from any device signed in to your account are treated as yours, including approvals to run code on that device. A device can carry out work while you are away from it. Keep every signed-in device secure.
- Held deliveries. In a Job, outgoing messages may be held until the Job's automated checks have run. A message may still be sent, with a warning attached, if those checks find problems. Do not rely on this hold as your review step.
7. Cloud Storage and Local Files
Prismr works with local files and folders, including folders kept in sync by a cloud provider's own desktop app. On iOS and Android you can also connect Google Drive, OneDrive, or Dropbox directly.
When you connect or use a cloud storage provider:
- You authorise Prismr to read and write files in the locations you choose, so the App can create, update, and organise your Project Files. For Google Drive this means access to all files in your Drive, not only files Prismr created.
- Your cloud provider's terms and privacy policy govern how that provider handles your data.
- We are not responsible for outages, access restrictions, data loss, corruption, unauthorised access, or changes to a cloud provider's APIs.
- You are responsible for maintaining backups of your data. Prismr does not provide server-side backups of your Project Files.
8. Your Content
8.1 Ownership
You retain ownership of all content you create, upload, store, or generate using Prismr ("Your Content"), subject to any rights held by third parties in underlying materials. This includes documents, Project Files, memories, comments, prompts, conversations, and AI-generated outputs.
TCI does not claim any ownership rights over Your Content. Processing or storing service data in order to provide the Service does not give TCI ownership of your work.
8.2 Permission to Operate the Service
You grant us a limited license to access, process, store, transmit, and display Your Content only as needed to provide the Service to you and to the people you share it with (for example opening files, writing files you save, syncing conversations to your devices, sending content to the AI providers you choose, and displaying content inside the App). This license is non-exclusive, worldwide, and royalty-free. It ends when you delete Your Content or your account, except for content you posted in a Huddle or message with other people, which stays visible to them, and for records we must keep for legal, security, or accounting reasons.
We do not use Your Content for training AI models, for advertising, or for any purpose other than providing the Service to you.
8.3 Responsibility
You are responsible for Your Content and for ensuring that it does not violate any applicable laws, these Terms, or any third-party rights. We do not routinely review Your Content and we run no automated content scanning. Authorised staff may access Your Content where needed to answer a support request from you, to investigate abuse or a security incident, or to meet a legal obligation, as described in our Privacy Policy.
8.4 Shared Projects and Huddles
You are responsible for choosing who you invite, what access you give them, and what you place in shared Projects and Huddles. People you share with can see your name and email address, everything posted in the Huddles they belong to, and the member list of the Project. Access to a Huddle's content is limited to its members; being invited to one Huddle does not give access to others in the same Project. Removing someone from a Project stops their future access but does not delete what they already posted, and what you posted stays visible to the remaining members.
9. Intellectual Property
9.1 Prismr's Intellectual Property
The Service, including the App, Website, and all associated software, designs, logos, documentation, and other materials, are owned by Targeted Coaching International, Ltd. and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except for the limited license described in Section 4.
9.2 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a non-exclusive, worldwide, royalty-free, irrevocable license to use, modify, and incorporate that feedback into our Service without any obligation to you.
10. Acceptable Use
You agree not to use Prismr, or to direct the AI, to:
- Violate any applicable law or regulation
- Infringe intellectual property or other third-party rights
- Generate, store, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
- Generate content that exploits, harms, or attempts to harm minors
- Harass, abuse, threaten, or harm others
- Send unsolicited or deceptive messages, or messages that misrepresent who is sending them
- Distribute malware, viruses, or harmful code
- Attempt unauthorised access to systems, networks, accounts, or other users' data
- Access or extract data from websites or services in breach of their terms, robots rules, or the law
- Interfere with or disrupt the Service or its infrastructure
- Conduct or facilitate fraud, phishing, spam, or social engineering
- Develop weapons, conduct surveillance, or facilitate violence
- Circumvent safety controls, usage policies, or terms of AI providers
- Scrape, crawl, or use automated means to extract data from the Service except through intended interfaces
- Resell, redistribute, or commercially exploit the Service or access to the Service without our written permission
We may suspend or terminate your account if we reasonably believe you have violated this section, with or without notice depending on the severity of the violation.
11. Subscriptions, Payments, Trials, and Refunds
Prismr may be offered through paid subscriptions, usage-based plans, free trials, or other offers. Plan details and current pricing are provided at the point of purchase. AI usage through your own keys and accounts is billed by those providers, not by us.
- Auto-renewal. If your subscription is set to renew, it will renew automatically unless you cancel before the renewal date. You can cancel online at any time through the billing link in your account settings, and cancelling is no harder than signing up.
- Price changes. We may change subscription pricing with at least 30 days' advance notice by email. Price changes take effect at the start of your next billing period following the notice.
- Where you buy. Purchases made through our website are processed by a third-party processor (currently Creem.io), and its terms apply. If we offer purchases through the Apple App Store or Google Play in future, those purchases will be processed by Apple or Google under their terms and refund policies.
- Right to cancel (EEA and UK consumers). If you are a consumer in the EEA or the United Kingdom, you have the right to withdraw from a purchase within 14 days without giving a reason. Because the Service starts immediately, we ask at checkout for your express agreement to begin the Service straight away and your acknowledgement that you lose the right of withdrawal once the Service has been fully performed; if you withdraw before that, we refund the unused part. To withdraw, email [email protected].
- Refunds elsewhere. Outside those rights, website purchases are non-refundable except where the law requires otherwise or we say so at purchase.
- Free tiers and trials. We may offer free tiers or trial periods at our discretion. We reserve the right to modify or discontinue free access at any time. If a trial converts to a paid subscription, you will be notified before any charge is made.
12. Third-Party Services
Prismr integrates with third-party services, including AI providers, Connectors, cloud storage providers, payment processors, and hosting infrastructure. These services are governed by their own terms and privacy policies.
We are not responsible for the availability, accuracy, performance, security, content, or practices of third-party services. Your use of third-party services through Prismr is at your own risk.
If a third-party service changes its terms, pricing, availability, or API in a way that affects Prismr, we will make reasonable efforts to adapt but cannot guarantee uninterrupted service.
13. Service Availability and Changes
Prismr is provided on an "as available" basis. We do not guarantee uninterrupted or error-free operation.
Because Prismr relies on third-party AI providers and cloud services, availability depends in part on those services. Outages or issues with third-party providers are outside our control.
We may modify, suspend, or discontinue parts of the Service. Where practical, we will provide notice of material changes.
14. Suspension and Termination
14.1 By You
You may stop using Prismr at any time. If you have a subscription, you can cancel renewal through the billing link in your account settings or the store where you purchased. Cancellation stops future charges but does not entitle you to a refund for the current billing period, except as described in Section 11 or required by law.
You can delete your account from Settings in the App; you will be asked to sign in again first, and deletion happens immediately. You can also email [email protected] to have your account deleted. What is deleted and what remains is described in our Privacy Policy.
14.2 By Us
We may suspend or terminate your access to the Service, in whole or in part, if:
- You violate these Terms, including the Acceptable Use provisions
- You fail to pay applicable fees
- We are required to do so by law
- Your use of the Service poses a security risk or could harm other users
- Your account appears to be shared with or used by multiple people in violation of Section 3.2
Where possible, we will provide notice before suspension or termination. In cases of serious or repeated violations, we may act immediately without notice.
14.3 Effect of Termination
Upon termination:
- Your license to use Prismr is revoked.
- Any Pilot-managed AI access ends.
- Project Files stored on your device, server, network drive, or connected cloud storage remain in those locations under your control.
- Data in Prismr's cloud (such as conversations, collaboration records, Job records, and account data) is handled as described in our Privacy Policy.
15. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, PRISMR DOES NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR RELIABLE
- ACTIONS TAKEN BY THE AI ON YOUR BEHALF WILL BE CORRECT OR COMPLETE
- THE SERVICE WILL MEET YOUR REQUIREMENTS
- ANY DEFECTS WILL BE CORRECTED
- YOUR DATA WILL NOT BE LOST OR CORRUPTED
YOU USE THE SERVICE AT YOUR OWN RISK.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS RIGHTS YOU MAY HAVE UNDER APPLICABLE CONSUMER PROTECTION LAWS THAT CANNOT BE WAIVED OR LIMITED BY CONTRACT.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TCI, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING ACTIONS TAKEN BY THE AI ON YOUR BEHALF.
THIS APPLIES WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT TCI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT PERMITTED BY LAW, TCI'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO TCI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).
NOTHING IN THESE TERMS LIMITS OR EXCLUDES OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED BY LAW. IF YOU ARE A CONSUMER, THIS SECTION APPLIES ONLY TO THE EXTENT PERMITTED BY THE CONSUMER PROTECTION LAWS OF THE COUNTRY WHERE YOU LIVE.
17. Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless TCI and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your violation of these Terms or of any applicable law
- Your Content, and content the AI sends, posts, or creates on your instruction
- Actions the AI takes on your behalf using capabilities, accounts, or keys you enabled
- Your violation of any third-party rights or third-party provider terms
- Your use of AI-generated content
- Any charges or liabilities incurred through your use of your own API keys or provider accounts
If you are a consumer, this section applies only to losses caused by your breach of these Terms or your misuse of the Service, and only to the extent permitted by the consumer protection laws of the country where you live.
18. Governing Law and Disputes
18.1 Governing Law
These Terms are governed by the laws of the Cayman Islands, without regard to conflict of law principles. If you are a consumer, you also keep the protection of any mandatory consumer laws of the country where you live.
18.2 Talk to Us First
Before starting any formal proceeding, you agree to contact us at [email protected] and give us 30 days to try to resolve the dispute informally. We agree to the same.
18.3 Arbitration for Residents of the United States
If you live in the United States and we cannot resolve a dispute informally, either of us may require that it be resolved by binding individual arbitration administered by JAMS under its rules then in effect, including its Consumer Minimum Standards where they apply. The arbitration will be conducted in English, may take place by video or on documents, and the arbitrator's decision may be entered in any court with jurisdiction. Either of us may instead bring an individual claim in small-claims court. If your claim is for less than USD 10,000, we will pay the arbitration fees beyond the amount you would have paid to file in court.
You can opt out. You may reject this arbitration clause by emailing [email protected] within 30 days of first accepting these Terms, stating your name, your account email, and that you opt out of arbitration. Opting out does not affect any other part of these Terms.
18.4 Courts for Everyone Else
For anyone not covered by Section 18.3, or who has opted out of it, disputes will be brought in the courts of the Cayman Islands. If you are a consumer in the EEA, the United Kingdom, or another country whose law gives you the right to sue and be sued in your home courts, nothing in this section takes that right away, and you may also use any dispute-resolution body available to you there.
18.5 Individual Claims Only
To the extent permitted by law, you and we agree that disputes will be resolved on an individual basis, and not as a plaintiff or class member in any class, consolidated, or representative proceeding. If this paragraph is found unenforceable for a particular claim, that claim will proceed in court under Section 18.4 rather than in arbitration.
19. Apple App Store Additional Terms
If you download or use Prismr through the Apple App Store, the following additional terms apply:
- Parties. These Terms are between you and TCI, not with Apple. Apple is not responsible for the Service or its content.
- Scope of license. Your license to use the App on Apple devices is limited to a non-transferable license to use the App on Apple-branded products that you own or control, as permitted by the Usage Rules in the App Store Terms of Service, except that the App may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing.
- Maintenance and support. Apple has no obligation to provide any maintenance or support services for the Service.
- Warranty. If the Service fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Service.
- Claims. Apple is not responsible for addressing any claims by you or a third party relating to the Service or your use of the Service, including product liability claims, any claim that the Service fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
- Intellectual property. In the event of any third-party claim that the Service infringes that third party's intellectual property rights, TCI, not Apple, shall be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
- Legal compliance. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary.
20. Google Play Additional Terms
If you download or use Prismr through Google Play, the following additional terms apply:
- These Terms are between you and TCI, not with Google. Google is not responsible for the Service or its content.
- Your use of the Service is also subject to the Google Play Terms of Service.
21. Changes to These Terms
We may update these Terms from time to time. When we do, we will publish the new version on our website with a new "Last Updated" date. If we make material changes, we will also email the address on your account at least 14 days before the changes take effect, and the App may ask you to accept the new Terms.
If you do not agree to the updated Terms, you must stop using the Service and may delete your account. Continuing to use the Service after the effective date means you accept the updated Terms.
22. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and TCI regarding Prismr and supersede all prior agreements.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
- Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms to an affiliate or a successor to our business; we will tell you if we do.
- No Agency. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and TCI.
- Notices. We may provide notices to you via email (to the address associated with your account) or through the App. Notices to us should be sent to [email protected].
- Survival. The following sections survive termination of these Terms: Section 5 (AI Services), Section 6 (Actions on Your Behalf), Section 8 (Your Content), Section 9 (Intellectual Property), Section 12 (Third-Party Services), Section 15 (Disclaimer of Warranties), Section 16 (Limitation of Liability), Section 17 (Indemnification), and Section 18 (Governing Law and Disputes).
